1. Agreement to Terms

These Terms and Conditions ("Terms") govern your use of the website pundeer.com and the services provided by Pundeer Technologies, a technology company based in Solan, Himachal Pradesh, India ("Company", "we", "us", or "our").

By accessing our website, submitting an enquiry, or entering into a service agreement with us, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or engage our services.

2. Services

Pundeer Technologies provides the following services to individuals and businesses:

• Website and Web Application Development
• Custom Software Development (ERP, CRM, Billing, Inventory Systems)
• Search Engine Optimization (SEO)
• Digital Marketing and Lead Generation
• AI Business Automation and n8n Workflow Development
• Web Support and Annual Maintenance Contracts (AMC)
• Project Takeover and Codebase Maintenance

The specific scope, deliverables, timeline, and pricing for each project are defined in individual project proposals or service agreements signed between the client and Pundeer Technologies. These Terms apply in addition to such agreements.

3. Project Engagement

3.1 Proposals and Quotes

All project quotes and proposals are valid for 30 days from the date of issue unless otherwise stated. A project commences only after a written confirmation (email or signed agreement) and receipt of the agreed advance payment.

3.2 Client Responsibilities

The client agrees to provide timely access to necessary materials, content, credentials, feedback, and approvals required for project delivery. Delays caused by the client's failure to provide required inputs may result in revised timelines and additional charges.

3.3 Revisions and Change Requests

Each project proposal includes a defined number of revision rounds. Additional revisions or scope changes requested beyond the agreed scope will be quoted and billed separately at our standard hourly rate. Significant scope changes may require a revised project agreement.

4. Payments

4.1 Payment Terms

Our standard payment structure is:

• 50% Advance: Due before project commencement to confirm the engagement.
• Remaining 50%: Due upon project completion and before final handover of source code, files, or deployment.

Payment terms for AMC (Annual Maintenance Contract) plans are defined in the respective service agreements and are typically due monthly or annually in advance.

4.2 Late Payments

Invoices are due within 7 days of issue unless otherwise agreed. Late payments beyond 15 days may result in suspension of services, withholding of deliverables, or additional late payment charges. Pundeer Technologies reserves the right to pursue recovery of outstanding amounts through appropriate legal channels.

4.3 Refund Policy

Advance payments are non-refundable once project work has commenced. If a project is cancelled by the client after commencement, payment is due for all work completed to date. Refunds are considered only in cases where Pundeer Technologies is unable to deliver the agreed services due to circumstances within our control.

5. Intellectual Property

5.1 Client Ownership

Upon receipt of full payment, the client receives full ownership of all custom code, designs, and deliverables produced specifically for their project. This includes website source code, database schemas, design files, and documentation.

5.2 Third-Party Components

Projects may incorporate open-source libraries, frameworks, fonts, or plugins. These are subject to their respective third-party licenses. Ownership of third-party components does not transfer to the client — only the right to use them in accordance with their respective licenses.

5.3 Portfolio Rights

Pundeer Technologies reserves the right to display completed work in our portfolio, case studies, and marketing materials unless the client specifically requests confidentiality in writing before project commencement.

6. Confidentiality

Both parties agree to keep confidential any sensitive business information, trade secrets, technical data, or proprietary processes shared during the course of the project engagement. Pundeer Technologies will not disclose client-specific information to third parties without explicit written consent, except as required by law.

7. Warranty & Support

We provide a 30-day bug fix warranty on all completed projects. During this period, we will fix any functionality issues directly attributable to errors in our code at no additional charge. This warranty does not cover issues caused by client-side changes, third-party plugin updates, server environment changes, or new feature requests.

Post-warranty support, maintenance, and enhancements are available through our AMC plans or on a time-and-materials basis.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Pundeer Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of business revenue, loss of data, or loss of business opportunities arising from the use of our services.

Our total liability in any matter related to services provided shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or the services provided shall be subject to the exclusive jurisdiction of the courts located in Solan, Himachal Pradesh, India.

10. Modifications to Terms

Pundeer Technologies reserves the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated "Last updated" date. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
